1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Draxworth Materials Corp. ("Company," "we," "us," "our"), a Canadian corporation registered with VAT number 948210531 RT 0001, located at 333 7 Ave SW, Calgary, AB T2P 2Z1, Canada.

By accessing, browsing, or using any services, products, websites, applications, or platforms offered by Draxworth Materials Corp., including but not limited to polymer testing, materials auditing, and related professional services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must discontinue use of our services immediately.

2. Services Offered

Draxworth Materials Corp. provides independent polymer testing and materials auditing services for Canadian industry. Our services include, but are not limited to:

  • Polymer composition analysis and testing
  • Materials auditing and quality assurance
  • Compliance verification and certification
  • Technical consultation and reporting
  • Laboratory analysis and testing protocols

The Company reserves the right to modify, suspend, or discontinue any service offering at any time, with or without notice. Pricing, service specifications, and availability are subject to change without notice.

3. User Eligibility and Responsibilities

By using our services, you represent and warrant that:

  • You are at least 18 years of age or of the legal age of majority in your jurisdiction
  • You are legally authorized to enter into this Agreement
  • You will not use our services for illegal, unethical, or prohibited purposes
  • All information you provide is accurate, current, and complete
  • You will comply with all applicable laws and regulations

You are responsible for maintaining the confidentiality of any account credentials and for all activities conducted under your account. You agree to notify us immediately of any unauthorized access or security breach.

4. Intellectual Property Rights

All content, materials, methodologies, test results, reports, and intellectual property provided by Draxworth Materials Corp. ("Materials") are owned by or licensed to the Company and are protected by Canadian and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Materials solely for your personal or business purposes in connection with our services. You may not reproduce, modify, distribute, transmit, display, publish, or create derivative works from any Materials without prior written consent from the Company.

Any custom reports, analyses, or recommendations produced by the Company remain the intellectual property of Draxworth Materials Corp. unless otherwise specified in a written agreement. You may use such materials only for the purposes specified in your service agreement.

5. Testing and Results Accuracy

While Draxworth Materials Corp. employs industry-standard testing methodologies and quality assurance protocols, we do not warrant absolute accuracy of all test results. Our testing is conducted in accordance with recognized standards and best practices, but results may be subject to inherent limitations of testing procedures, sample condition, or environmental factors.

Test results are valid only for the specific samples tested at the time of testing. Results may not be applicable to other samples or batches, or to future performance under different conditions. Users should not rely on our results for purposes beyond the scope specified in the service request.

The Company is not responsible for damages, losses, or claims arising from reliance on testing results for purposes not explicitly authorized in writing or for application beyond the stated scope of services.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER CANADIAN LAW, IN NO EVENT SHALL DRAXWORTH MATERIALS CORP., ITS OFFICERS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF USE, BUSINESS INTERRUPTION, OR ANY OTHER LOSS OR DAMAGE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The Company's total liability under these Terms shall not exceed the amount paid by you for the services in question during the 12 months preceding the claim. Some jurisdictions do not allow limitations on liability, so this limitation may not apply to you.

7. Disclaimer of Warranties

DRAXWORTH MATERIALS CORP. PROVIDES SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

The Company does not warrant that:

  • Services will be uninterrupted, error-free, or secure
  • Any defects will be corrected
  • Results will meet your specific requirements
  • The services are suitable for any particular purpose

8. Payment Terms and Billing

Fees for services are as quoted in your service agreement or proposal and are subject to applicable Harmonized Sales Tax (HST) unless you provide a valid tax exemption certificate.

Payment is due within 30 days of invoice unless otherwise specified. Late payments may result in suspension of services and will accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

The Company reserves the right to modify pricing with 30 days' written notice. Prices are subject to change without liability.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared in connection with the provision of services. This includes test data, business information, methodologies, and client details.

Exceptions to confidentiality obligations include information that:

  • Is publicly available through no breach of this Agreement
  • Is legally required to be disclosed by law or court order
  • Is independently developed without reference to confidential information
  • Is disclosed by the other party without confidentiality obligations

10. Limitation Period and Data Retention

Test reports and associated data will be retained by Draxworth Materials Corp. for a minimum of 7 years from the date of testing, in accordance with Canadian industry standards. Archived materials may be subject to storage fees if extended retention is requested beyond this period.

Users are responsible for maintaining their own copies of reports and results. The Company is not liable for loss of data due to normal archival processes or system failures.

11. Privacy and Data Protection

Your use of our services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We collect and process personal information in accordance with Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.

12. Prohibited Activities

You agree not to use our services for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:

  • Fraud, misrepresentation, or deception
  • Intellectual property infringement
  • Unauthorized access to systems or data
  • Harassment, threats, or abusive communication
  • Submission of false or misleading information
  • Circumventing security measures or testing protocols
  • Violation of export controls or sanctions

13. Termination

The Company reserves the right to terminate or suspend your access to services at any time, with or without cause and with or without notice, if you violate these Terms or engage in unlawful conduct.

Upon termination, all rights granted to you under these Terms immediately cease. You remain liable for all outstanding fees and charges incurred through the termination date.

14. Indemnification

You agree to indemnify, defend, and hold harmless Draxworth Materials Corp., its officers, employees, agents, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from or related to:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your infringement of third-party rights
  • Your reliance on testing results for unauthorized purposes

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Alberta for resolution of any disputes.

Before initiating legal proceedings, the parties agree to attempt good faith negotiation and, if necessary, mediation to resolve disputes. Any legal action must be brought within one year of the date the cause of action arises, or be forever barred.

16. Amendments and Modifications

Draxworth Materials Corp. reserves the right to modify these Terms at any time. Material changes will be communicated to users via email or posted on our website with a notice of the effective date. Continued use of our services after such modifications constitutes your acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with any service agreements, proposals, and privacy policies, constitute the entire agreement between you and Draxworth Materials Corp. regarding your use of our services and supersede all prior and contemporaneous understandings, whether written or oral.
